• Tax and legal evaluation of companies in the process of merger, spin-off (total and partial), or acquisition. Regional and sectorial tax incentives, tax planning, administrative and judicial defense of tax matters, acquisitions, mergers and spin-offs with the objective of tax savings.
• Action at the start of negotiations (legal audit phase), in the preparations of all documents, including terms and conditions, in the obtaining of licenses, registration and approvals as needed.
• In the legal audit phase, analysis of issues as to taxes, labor claims, legal structure, contractual obligations, environmental issues, as well as matters relating to trademarks, patents and technology transfers.
